1. TERMS OF THE AGREEMENT

1.1 AUSKAUP Ltd., hereinafter the Service Provider

1.5 The terms listed in this agreement (hereinafter “the Agreement”) apply for all users of the Internet application Numbercafe games as applications on Facebook (hereinafter “the Service”), managed by the Service Provider.

The Service may be used only after agreeing to the terms and conditions listed in this Agreement.

By using the Service in any which way the User agrees to all conditions listed in this Agreement and confirms that he or she has acquainted himself or herself thoroughly with the Agreement. The Service is an online game application, which offers number-based pastime and dexterity games.

1.6 In addition to the Agreement, the User will agree to additional conditions set by the Service Provider, legal norms in force and good practices.

1.7 If a provision of the Agreement should prove null and void due to a contradiction with the law, it does not affect the validity of other provisions.

2. RIGHT OF USE AND USER’S PERSONAL INFORMATION

2.1 By registering as a User of the Service, the User will gain the right to use the Service within the limits of the terms and rules set by the Service Provider. During registering, the User will confirm that personal data required by the Service Provider (hereinafter User Information), which is used for identifying the User.

2.2 According to the Agreement, the User will receive a limited right to use the Service. The User has no right to record, publish, mediate, forward or use the information displayed in the Service or received via the Service in any other way than foreseen in the Agreement or the Terms of Use.

2.3 The Service Provider has the right to deny the Right of Using the Service when the person desiring the Right of Use does not fulfill the conditions of receiving the Right of Use in any other way.

2.4 The Service User must be at least 13 years of age. All responsibility arising from using the Service by persons under 13 years of age is born to the maximum extent foreseen by the law by their parents or guardians who gave their consent. By using the Service, the user agrees that the information entered into their account is public to all users of the Service and publishing this information, which is treated as public, is done at the User’s own risk. Therefore, the Service Provider is not responsible for the use of this information by third parties.

2.5 The Service Provider has the right to use the User Information for administering the Service, for giving information about the Service, for planning and developing the business of the Service as well as for statistical and market research. The Service Provider has the right to use the User Information in every way, which allowed by Facebook. By registering as a Service User, the User will give his consent to do that. All Users are registered in the customer database of Auskaup Ltd. The customer database is an electronic database that is located on the server of the Service Provider, which is protected by a firewall and passwords. The Service Provider does not give out or sell User Information to third parties. The Service Provider has the right to communicate the User Information to the Police when Rights of Use have been breached.

2.6 The Service Provider has the right to communicate the information entered by the User to another User of the Service when the Service requires it. Currently, leaderboards are used for this purpose and, in the future, games that can be played together by several Users.

2.7 The Service contains additional service for a fee (hereinafter “Paid Services”). User can purchase additional Stars to Users account. Service fees are clearly presented before payment. Using Paid Services requires paying for the additional service. For providing Paid Services there may be a membership fee or a charge based on time or on some other basis. The Service Provider may change the prices of Paid Services and convert a free Service into a Paid Service or vice versa. The applicable prices are currently seen on the Service pages.

3. USER’S OBLIGATIONS AND RESPONSIBILITY

3.1 The User takes responsibility for all activities connected with User within the Service. The User must inform the Service Provider immediately, when his personal information is in the use of a third party. Otherwise, the User takes personal responsibility for all activities related to his personal data within the Service.

3.2 The User takes responsibility for all direct and indirect costs related to the use of the Service.

3.3 While using the Service, the User undertakes to act in accordance with the Terms of Use of the Service, other rules and guidelines related to the Service, in accordance with the law and good practice. Also, the User undertakes to follow the rules and guidelines in place elsewhere within the Service.

3.4 The Service may not be used by offering, transmitting or distributing by any other means material protected by copyright, trademarks or by other similar methods. The Service may not be used in a way harmful or offensive to the Service Provider, other Service Users or third parties.

3.5 The User agrees that he will not send, mediate or save within or via the Service environment materials that is prohibited by good practice or laws, and agrees that he will not persuade other Users to do that. The User undertakes not to send, mediate or save within or via the Service environment materials protected by copyright, trademarks or by other intellectual property rights, when he does not have special permission from the owner of this right.

3.6 The User will be able to use the Service and undertakes to use it at his own risk and by acquiring, maintaining and guaranteeing the proper security of the equipment, internet connection and software necessary for using the Service.

4. THE RIGHTS AND RESPONSIBILITY OF THE SERVICE PROVIDER

4.1 The Service Provider provides the Service User with an internet environment that is, in principle, available 24 hours per day. The Service Provider reserves the right to turn off temporarily the Service or a part of the Service for maintenance, installation, making changes, public order and security, system overload or other similar reasons. The Service Provider provides the Service “as is” and “as available”.

4.2 The Service Provider has the right to add, change and erase a part of the Service as well as to change free functions of the Service into paid functions or to end administering the Service completely or in part. The Service Provider does everything possible to inform the Users of changes in the Service that are important for the Users and of temporary interruptions of the Service in advance via the Service or by other appropriate means. The changes take effect immediately upon completion.

4.3 The Service Provider does not give a direct or indirect guarantee for the performance and nature of the Service and does not guarantee that the Service will work without interruptions or mistakes.

4.4 The Service Provider does not accept responsibility for the contents and correctness of the Service except for the content and information created by the Service Provider. Therefore, the Service Provider is not responsible for the correctness of User Information, for the information published in the Service by Users and for the correctness of data submitted by a User.

4.5 The Service Provider does not take responsibility for damages or other consequences caused by a User to Service Users or third parties.

4.6 The Service Provider is not by any means responsible for direct or indirect damage related to the Service or using the Service or other information available via the Service. The Service Provider is not responsible for using the Service or its disruptions, technical failures, harmful software, links or disruptions that have caused damage to a User or a third party.

4.7 The Service Provider has the right to delete information and User data from the Service that is in the opinion of the Service Provider in conflict with the law or good practice or that is inappropriate, incorrect or harmful to the Service Provider, a User or a third party.

4.8 The Service Provider has the right to delete from the Service a User who has acted against the Terms of Use or other rules and guidelines related to the Service or breached the law or ethics and to prevent his access to the Service.

4.9 The Service is protected by copyright according to the law of the Republic of Estonia. The Service may contain materials protected by copyright, trademark or similar legal acts. The User is not allowed to distribute, print, copy, make public or use for some other business purpose the materials protected by copyright without express written permission of the Service Provider or other legitimate person.

4.10 The material in and content of the Service may not be used or published for a business or other purposes without an express permission by the Service Provider.

5. CHANGING THE AGREEMENT

5.1 The Service Provider has the right to change the terms of the Agreement unilaterally, notifying the User via e-mail or the Service. Such changes take effect within fourteen (14) days after notification. The User accepts the changes by using the Service.

5.2 If a User does not wish to accept the changes in the Agreement, the User may end the Agreement via e-mail or the Service before the changes take effect.

6. CONTRACT PERIOD

6.1 The Agreement enters into force when the User uses the Service and the Service Provider grants the User access to the Service. If the Service Provider does not grant the User access to the Service, this agreement will not enter into force.

6.2 The Agreement is concluded for an unlimited time. Both parties of the Agreement may end the Agreement without prior notification via e-mail or via the Service without specifying the reasons.

6.3 The parties become free of the obligations resulting from the Agreement in such time and to such extent when unfulfilling the contractual obligations results from force majeure. Such exception is an unusual event that prevents fulfilling the agreement and takes place after concluding the agreement, if this event is independent from the parties of the agreement and its effects may not be reasonably avoided or prevented. Examples of such events include war, mutiny, obsessive taking or arresting property in the public interest, an interruption in power supply, strikes, fire, thunderstorm or other natural phenomenon or another reason that has a similar effect, is unusual and independent of the User or the Service Provider.

7. TRANSFER OF THE AGREEMENT

7.1 The Service Provider has the right to transfer the Agreement to a third party if the transfer is related to the sale of the Service or its part or a change in the producer or the intermediary of the Service.

7.2 The Service Provider always has the right to transfer the Agreement to a parent or subsidiary company within the group.

7.3 The User does not have the right to transfer his agreement and the User is aware that the Right of Use granted to him is personal and it may not be given to a third party.

8. APPLICABLE LAWS AND SETTLEMENT OF DISPUTES

8.1 The laws of the Republic of Estonia apply to the present Agreement and it is interpreted according to these laws.

8.2 The Service Provider and the User will endeavor to settle their disputes acquiescently in negotiation. If an agreement cannot be reached, the dispute will be settled in court.
